Terms and Conditions

General Terms & Conditions

These Terms & Conditions apply to all services provided by Deshong Consulting (“we”, “our”, “us”) to the Client (“you”, “your”), unless otherwise agreed in writing.

  1. Services

Deshong Consulting will provide professional services as outlined in the relevant proposal and quotation. Any services requested outside the agreed scope may be subject to additional fees and timelines

2. Fees and Payment Terms

2.1 Fees

Fees for services will be outlined in the applicable proposal, quotation, invoice, or agreement.

All fees are exclusive of GST unless otherwise stated.

2.2 Deposits

For workshops, training programs, events, or projects, a deposit may be required to secure booking dates. Unless otherwise specified, a deposit of 50% is payable upon acceptance of the proposal.

2.3 Payment Due Date

Invoices are payable within fourteen (14) days from the invoice date unless otherwise agreed in writing.

2.4 Late Payments

Deshong Consulting reserves the right to:

  • Charge interest on overdue amounts at a reasonable commercial rate;
  • Suspend services until outstanding amounts are paid;
  • Recover reasonable debt collection and legal costs incurred in recovering unpaid amounts.

2.5 Expenses

Any approved travel, accommodation, venue hire, catering, printing, or third-party expenses will be invoiced separately unless included in the agreed fee.

3. Cancellations and Rescheduling

3.1 Client Cancellation

If the Client cancels services after confirmation, the following fees may apply:

15–30 days before delivery 50% of total fee
14 days or less before delivery 100% of total fee

3.2 Rescheduling

One reschedule request may be accommodated without penalty where reasonable notice is provided and a mutually suitable date can be agreed.

Additional rescheduling requests may incur administrative costs or cancellation fees.

3.3 Consultant Cancellation

If Deshong Consulting is unable to deliver services due to unforeseen circumstances, we will make reasonable efforts to reschedule services or provide a refund of any fees paid for services not yet delivered.

4. Intellectual Property

4.1 Ownership

All intellectual property rights in materials, frameworks, methodologies, templates, presentations, training resources, reports, workbooks, tools, and other content created or provided by Deshong Consulting remain the exclusive property of Deshong Consulting unless otherwise agreed in writing.

4.2 Client Use

The Client is granted a non-exclusive, non-transferable licence to use materials provided for their internal business purposes only.

The Client must not:

  • Reproduce materials for commercial sale;
  • Modify and redistribute materials;
  • Provide materials to third parties;
  • Claim ownership of materials developed by Deshong Consulting.

4.3 Client Materials

The Client retains ownership of any information, documents, branding, or intellectual property supplied to Deshong Consulting for the purposes of delivering services.

4.4 Project Deliverables

Where custom deliverables are developed specifically for the Client and ownership is intended to transfer, this must be expressly stated in the relevant proposal or agreement.

5. Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or confidential information disclosed during the engagement and not to disclose such information to third parties without prior consent, except where required by law.

6. Limitation of Liability

To the maximum extent permitted by law, Deshong Consulting’s liability arising from the provision of services shall be limited to the fees paid by the Client for those services.

Deshong Consulting shall not be liable for any indirect, consequential, incidental, or special damages, including loss of profits, revenue, business opportunities, or reputation.

7. Client Responsibilities

The Client agrees to:

  • Provide accurate and timely information;
  • Cooperate with reasonable requests necessary to deliver services;
  • Ensure participants and stakeholders attend scheduled sessions where applicable;
  • Obtain any internal approvals required for the engagement.

Delays caused by the Client may impact project timelines and costs.

8. Force Majeure

Neither party shall be liable for delays or failure to perform obligations where such delays arise from circumstances beyond reasonable control, including natural disasters, severe weather events, government restrictions, public health emergencies, industrial action, travel disruptions, or technology failures.

9. Acceptance

Acceptance of a proposal, quotation, service agreement, purchase order, payment of a deposit, or written confirmation to proceed constitutes acceptance of these Terms & Conditions.

10. Governing Law

These Terms & Conditions are governed by the laws of the State or Territory in which Deshong Consulting is registered and operates. Any disputes shall be subject to the jurisdiction of the relevant courts of that State or Territory.
